Insiders Club Terms.

These terms apply when you apply to or participate in the Matilda Insiders Club ("the Insiders Club"), an invitation-only early-access programme run by Maincode ("we", "us", "our"). By submitting your application you agree to these terms.

What the Insiders Club is

Matilda is a pre-release conversational AI platform built and run in Australia. The Insiders Club gives a small cohort of people genuine early access in exchange for honest, regular feedback. Participation is free.

Who can apply

Your account and access

If you're accepted, we'll set up access to Matilda for your sole use. You agree not to share your access with anyone else, not to attempt to bypass usage controls beyond your own tier, and not to use Matilda in any way that breaks Australian law or the rights of others.

Matilda is in active development. That means:

Confidentiality

Matilda hasn't launched publicly yet. As an Insider, you have access to information that isn't yet public, including the product itself, its features, our roadmap, performance characteristics, and anything we share in private channels or one-on-one conversations. We ask you to:

These obligations end on the earlier of: (a) the date the relevant information becomes publicly available through Maincode (e.g. at public launch), or (b) two years after the cohort ends. Standard exclusions apply: information you already knew, that becomes public through no fault of yours, that you receive from a third party without restriction, or that you independently develop without using ours.

Feedback

We can only build a better product if we can act on what you tell us. When you give us feedback (bug reports, suggestions, opinions in interviews, anything else), you grant Maincode a perpetual, irrevocable, worldwide, royalty-free licence to use that feedback to improve Matilda and our other products, without owing you anything. You keep ownership of the underlying ideas. This licence just lets us use what you share.

We don't expect you to feed us trade secrets or confidential third-party information. Please don't.

Your content

Anything you put into Matilda (your conversations, prompts, documents you share with it) stays yours. We use it to operate the service for you and, as described in our Privacy Policy, to improve Matilda. We don't sell it.

You agree not to use Matilda or the Insiders Club to:

Suspension and termination

We can suspend or end your participation if you breach these terms, or if continuing your access would put the cohort, our team, or Matilda at risk. We'll usually let you know first and give you a chance to respond. You can withdraw at any time by emailing us at product@maincode.com.

No warranty on pre-release software

To the extent permitted by law, Matilda and the Insiders Club are provided "as is" during the programme. We don't promise the service will be uninterrupted, error-free, or that any particular output will be accurate. You shouldn't depend on Matilda for important decisions.

Australian Consumer Law

Nothing in these terms excludes, restricts, or modifies the guarantees, rights, or remedies you have under the Australian Consumer Law (Schedule 2 to the Competition and Consumer Act 2010) or any other consumer protection law that we cannot contract out of. Where we are entitled to limit our liability under the Australian Consumer Law for breach of a non-excludable guarantee, we limit it to (at our option) re-supplying the service or paying the cost of having it re-supplied.

Limitation of liability

Subject to the Australian Consumer Law clause above, neither party is liable to the other for indirect, special, consequential, or punitive damages, or for loss of profits, revenue, goodwill, or data, arising out of the Insiders Club. Maincode's total liability to you, in connection with the Insiders Club, will not exceed AUD $100. We think that's fair given participation is free.

Changes to these terms

If we need to change these terms during the programme, we'll email current participants and post the new version here with an updated effective date. If a change is material and you don't accept it, you can withdraw and we'll delete your data per our Privacy Policy.

Governing law

These terms are governed by the laws of Victoria, Australia. You and we submit to the non-exclusive jurisdiction of the courts of Victoria for any dispute arising out of these terms.
